Here is Homer's post from another board (not to be named) in regards to this...
I thought it was in regards to the recent deals...
As you remember, there was this filing a few days ago on the 12th.......It's a part of the same registration statement filed 8 days ago. Then delayed it a couple days ago.
No news here.
It's all related to the registration of the shares given to holders of XM's 10% Convertibles that exchanged for new Notes.
Most growing public companies like Sirius and XM always keep a "shelf" on file with the SEC -- which allows them to quickly issue shares or place debt, if the opportunity arises.
Without a shelf on file, they have to go through a process that may take too long... so they keep them on file. Shelf offerings are good for 2 years. When they expire or are maxed out, companies issue new ones.
Sirius' last shelf was all used up when they closed the merger with XM.
The current one filed on 3/12 was delayed a couple days ago -- and appears to have been refiled tonight. It's the same thing (for the most part) as the one filed on 3/12. It registers the shares given to the Dec09 XM Note holders -- as well as places a certain amount "on the shelf" for Sirius to issue if they need it.
No news here.
