    I am not 100% confident that this is Malone's game plan . . the shares were free anyway upon signing of the Investment Agreement . .

    two things to consider:

    1.) Liberty is permitted to run a short hedge against their preferred shares starting after 1/1/10; they are barred from doing so until then;

    2.) Liberty has the option of making a cash tender offer for all outstanding shares not beneficially owned by them sometime after February 2011 at a premium to the prior day's closing price. In fact, I believe they have an exclusive negotiating window between Feb 2011 and Aug 2011, plus, the poison pill effectively blocks out competing bids between now and then.

    so, there are a lot of scenarios that could be concocted from all of that; suffice to say that Liberty's lawyers specifically wanted that wording in the Investment Agreement for a reason; how Malone may or may not act on it is anyone's guess.

    But Liberty does have options that give them the ability to do more than just sit-tight on their 40% interest . . very tough to read the tea leaves from our vantage point.

    Hey John,saw your thoughts on bond offering,feel same way,can't figure out exactly why,but guess they are testing the market to get lower interest payments,which as of today will be 300 mil next year,before this offering.

    suppose rates begin to move-up from here as they are bound to do?

    I called Mel every dirty, unprintable, name in the book when he didn't refi those Feb converts "sooner rather than later" as he said he would do at the Merrill Lynch conference

    Ford refi'd their debt before the credit collapse and that is why they needed no bailout money

    penny-wise and dollar foolish not to take advantage of current "known" credit environment and push back all maturities . . imvho . . although I respect the dissenting opinions of those who differ . .

    Breathing room is never a bad thing!
