    from the Liberty Broadband Corporation prospectus I received in the mail today:

    Question and answer from page 5 and 6

    Question

    "What are the reasons for the Spin-off?"
    Answer

    2nd paragraph

    "In addition, earlier this year Liberty submitted a proposal to Sirius XM to acquire all of the shares of Sirius XM that it did not already own in exchange for Liberty common stock. This proposal was withdrawn before Sirius XM could respond. Should a combination with Sirius XM be pursued in the future, the Spin-Off should facilitate such a transaction by removing Broadband Assets and Liabilities and creating a purer-play company with a more efficiently-priced acquisition currency. Similarly, Liberty believes that the Spin-Off may also help to facilitate a potential combination of our company with Charter if one were pursued."

    Gotta love the bs they put out. The offer was withdrawn because Brian Roberts of Comcast kicked Malone in the balls by snatching twc in the middle of the night as Malone was sleeping like a baby!! Thats the reason the offer was withdrawn in my view.

    Not so sure i like the "...more efficiently priced acquisition currency" stuff. Although that could go either way i suppose.

    "More efficiently priced acquisition currency" allows for a fully priced LMCA which benefits LMCA shareholder as there is no/little discount to NAV.....and benefits SIRI shareholder in that they/LMCA can make an offer that does not look like a "low ball" and is "fair" to the SIRI shareholder....win win

    I found info this morning regarding BRK.A holdings showing that the Oracle of Omaha has alot of faith in Malone run Co.'s. Although Siri not on his list, these are: Charter-CHTR, Dircect TV-DTV, Liberty Global-LBTYA, Liberty Media-LMCA

    Tks for posting Blue Doggy....yes I have seen those holdings. Though no SIRI as in straight SIRI he does like SIRI through his large LMCA and LMCK holdings which are now 80+% SIRI post spin maybe even closer to 90%.

    Hey Denco, More than anything else it sure sends a boost of confidence to Malone run Co.'s. Those shares as you've seen are held in BRKs CLASS-A portfolio. As Dm_4 says ANY positive news would be greatly received by diehard longs. GLTA

    So they give meyers the hook altogether and replace him with Malone at an earlier time than was originally plan....interesting.
